Back by popular demand, David Sandison & Co, in conjunction with SYNOTax, will be delivering the third run of the popular seminar “Fund Structuring 101”. This run, we will have special guest speakers from Simmons & Simmons JWS, and Management Plus Group, to share their insights on the legal, regulatory and corporate governance aspects of fund creation and management.

The world of tax as we know it is changing rapidly, with governments around the world thirsty for tax revenues and the OECD throwing further aggression and confusion into the mix. As a result, structures that used to operate happily in the past (whether relying on the ignorance of the tax authorities or on some more technically sound analysis), will inevitably be put under increasingly sophisticated and aggressive scrutiny. But it’s not only tax authorities that are becoming more savvy. Sound corporate governance is insisted upon not only by regulators, but by investors as well, who are taking an increasingly active interest in how a fund is structured and run; and proper corporate governance dictates that directors understand the tax exposures they face. All of this is compounded by auditors who will insist on tax provisions where structures are inappropriate.

This workshop has been put together for fund managers, administrators, lawyers, accountants and all those involved in setting up fund structures, or who are interested in doing a health-check on an existing structure or structures.

The aim of the workshop is to send you away with a clear understanding of:

  1. the building blocks, objectives of, and tensions in, fund structuring – the new world order;
  2. the demise of the “gin and tonic” structure – substance, residence and other inconvenient truths;
  3. the Singapore tax incentives available – which one suits you best?;
  4. the elephant in the room – carried interest;
  5. the legal and regulatory aspects of setting up a fund structure managed from Singapore;
  6. tax compliance obligations – exemption doesn’t mean no filing;
  7. key issues in the corporate governance of funds – what could possibly go wrong?

The workshop will aim to be interactive and provide illustrative case studies.

The seminar this year will also incorporate changes relevant to the fund industry including:-

  1. MAS Circular FDD 05/2017 dated 11 May 2017;
  2. How useful really, is the new Singapore Variable Capital Company (S-VACC)?; and
  3. What opportunities are presented, if any, by changes in the Companies Act, that allow inward re-domiciliation of companies?
